Advised various Nigerian Subsidiaries of International Oil Companies (IOCs) on the conversion and transition of their oil and gas assets from the Petroleum Act regime to the Petroleum Industry Act Regime. Advised Exxon Mobil and Heirs Energies on compliance with the Environmental, Social, and Governance (“ESG”) requirements in the Petroleum Industry Act. This includes: a) advising on the establishment of the Host Communities Development Trust for the various Host Communities within the IOC’s area of operations in the Niger Delta Region (“NDR”); b) being part of the team that developed various policies for the trusts as well as for efficient implementation of the ESG framework, including effective corporate governance, transparency, accountability, anti-corruption, and anti-money laundering; and c) establishing structures and mechanisms for reporting, investigations, and disciplinary actions within the ambit of extant applicable laws. Part of the team advising Africa’s leading Liquefied Natural Gas Company on regulatory compliance affecting the company and its affiliates. Advised various Nigerian subsidiaries of International Oil Companies on the divestment of interest in their major Nigerian oil and gas assets and portfolio. Advised a Nigerian subsidiary of an International Oil Company on the restructuring of its shareholding and participation interest in its Nigerian upstream oil and gas portfolio. Advised an International Oil and Gas Servicing and Repair company on its distributorship agreement with a leading international machinery and spare parts company in compliance with Nigerian anti-trust and local content laws. Advising two major Nigerian subsidiaries of International Oil and Gas Companies on the importation and exportation of crude oil and refined petroleum products, amongst others. Advised a Nigerian Subsidiary of an International Oil Company on the assessment and evaluation of its assets and liabilities in pursuit of the divestment of its Nigerian oil and gas assets.
