Susan Adebayo is an Associate Counsel at Dentons ACAS‑Law in Lagos, practicing in the Financial Services and Corporate practice groups, specializing in Mergers and Acquisitions. She advises corporations, financial institutions, and investment funds on complex capital market transactions, including debt and equity offerings, securities issuance, restructuring, and regulatory compliance.

Susan has significant experience in corporate governance, transaction structuring, and post‑investment obligations, with work spanning telecommunications, technology and intellectual property, mergers and acquisitions, taxation in finance, and power and infrastructure projects. She drafts well‑researched legal opinions, prepares and negotiates a wide range of commercial agreements, and conducts comprehensive legal due diligence. Notable matters include advising on the acquisition of a controlling interest in a Nigerian fitness business; advising a major electricity distribution company on a US$124.65 million share option; advising on a cross‑jurisdiction review of Content Delivery Network operations in Nigeria; advising on a US$2.5 million investment in a Nigerian e‑commerce company; and advising a pharmaceutical company on a NGN 2 billion balance sheet restructuring.

She holds a B.L. from the Nigerian Law School (2024) and is a member of the Nigerian Bar Association and the Institute of Chartered Mediators and Conciliators.
