Philip Oluwatobiloba Ayanfe

Philip Oluwatobiloba Ayanfe is an Associate with expertise in Oil & Gas and Company Secretarial & Regulatory Compliance. He advises on complex energy transactions, regulatory compliance, project structuring, and tax matters in the Nigerian oil and gas industry.

He was part of the team that advised on a Build, Own, Operate and Transfer (BOOT) agreement for gas distribution infrastructure between a state government and an international oil and gas company. He prepared legal opinions on name changes for a liquified natural gas company, decommissioning regulations, and the applicability of local content requirements under the Nigerian Oil and Gas Industry Content Development Act. He advised a foreign company on market entry and joint ventures under the FCCPA, and provided tax advice to an international subsea operating company on significant economic presence, withholding tax, VAT, expatriate taxes, Nigerian Content Development Levy, and Cabotage Levy. He also reviewed bridge loan facilities for a state government and advised on bond issuances under Lagos State's ₦125 billion Series IV bond offering.

Philip holds an LL.B from the University of Ibadan, a B.L. from the Nigerian Law School, Lagos, and an LL.M from the University of Lagos. He is a member of the Nigerian Bar Association, the Institute of Chartered Mediators and Conciliation, the Institute of Chartered Secretaries and Administrators of Nigeria, and the Association of International Energy Negotiators.
